Official Rules - 2012 Bud to Boss Awards Competition

1. Competition Description. The Bud to Boss Awards Competition (the "Competition") is an exciting promotion designed to recognize the achievement of outstanding individuals who have recently been promoted to managers ("Entrant(s)").To win, Entrants must submit details regarding the significant contributions that the Entrant has made to his/her employer, as well as the professional achievements that the Entrant has enjoyed. Qualified Judges will then review the submissions and rank the Entrants based upon the specific criteria identified below. After the review and ranking process is completed, the Competition winners will be awarded prizes in accordance with these Official Rules.

2. Sponsor. The Competition is sponsored by Briefings Media Group, LLC. ("Briefings"), a Delaware Limited Liability Company with its principal place of business at 2807 N. Parham Road, Suite 200, Richmond, VA 23294, USA.

3. Binding Agreement. In order to enter the Competition, you and the Entrant nominee (if the Entrant is nominated by an employer) must agree to these Official Rules ("Rules"). The Rules consist of: (i) the terms and conditions on this page; and (ii)the Entry Form ("Competition Materials").These Rules form a legally binding agreement with respect to this Competition, so please read them carefully. If you (and the Entrant if nominated by an employer) do not agree to the Rules, you (and the Entrant if nominated by an employer) are not eligible to participate in the Competition or to win any of the prizes. You (and the Entrant if nominated by an employer) agree that registration for this Competition and/or a submission of an entry in the Competition constitutes your agreement to these Rules.

4. Eligibility. Except where regulated or restricted by law, this Competition is open to legal residents of forty-five (45) United States and the District of Columbia (EXCLUDING ARIZONA, COLORADO, MARYLAND, NORTH DAKOTA, AND VERMONT), who: (a) are at least 18 years of age as of the entry date; (b) are an employee of a company and organization located in the United States and the District of Columbia, excluding U.S. territories (collectively, "U.S. Companies"); and (c) have been promoted into a new management position during the calendar year 2011.The Entrant must reside in a state in which participation in this Competition is unrestricted by law. Registration for the Competition opened on September 26, 2011 at 12:00:00 A.M. Eastern Time ("ET").Registration ends December 16, 2012 at 11:59:59 P.M. ET, provided that Briefings has received 500 Entrants by that date, otherwise, Briefings may, in its sole discretion, extend the registration deadline an additional 30 days. Only one entry per Entrant is allowed. In the case of duplicate or multiple entries from or on behalf of the same Entrant, then the first entry to arrive at the designated submission address (as determined by the "received by" date) will be accepted as the entry into the Competition. Internet access is required to register for the Competition. At the time of submission of an entry, each Entrant must be a U.S. citizen or a permanent U.S. legal resident (e.g., must be able to show proof of legal permanent residence, for example, a "green card").Employees, interns, contractors, directors, and official office-holders, as well as their immediate families, of Briefings, its affiliates, and any representatives or agencies of Briefings or other persons professionally connected with the Competition ("Competition Parties") are not eligible to participate or to win. All federal, state, and local laws and regulations apply. This Competition is void in Arizona, Colorado, Maryland, North Dakota, Vermont, and where prohibited or restricted by law.

5. Entry Period. The Competition begins on September 26, 2011 at 12:00:00 A.M. ET and ends on December 16, 2012 at 11:59:59 P.M. ET ("Entry Period"), unless Briefings does not receive 500 Entrants by the end of the Entry Period. In such a case, Briefings may, in its sole discretion, extend the Entry Period for an additional 30 days.

6. Who Can Enter. The employer of any eligible employee of a U.S. Company, or the actual employees of a U.S. Company themselves, are eligible to enter and to submit entries (i.e., nominate) on behalf of eligible Entrants ("Authorized Registrants") as defined by these Rules. By entering this Competition through the nomination of an eligible employee as an Entrant, the U.S. Company represents and warrants that the Entrant has given his/her express consent to (a) the nomination and the submission of the Entrant's Competition Materials in the Competition and for the review and judging of the Competition Materials as contemplated under these Rules, and (b) be bound by the terms and conditions set forth in these Rules.

7. How To Enter. The registration period on the Bud to Boss Awards website (http://www.budtobossawards.com) ("Competition Website") begins on September 26, 2011 at 12:00:00 A.M. ET and ends on December 16, 2012 at 11:59:59 P.M. ET (unless the Entry Period is extended as outlined above). Competition Materials and instructions to enter and to participate in the Competition are posted on the Competition Website. Submissions must be sent by completing the Entry Form on the Competition Website and completing the online transaction, including payment via credit card of a nonrefundable entry fee equal to (a) $50 if paid on or through the end of the Entry Period. Disqualified or otherwise ineligible Entrants will not be entitled to a refund of the entry fee paid to Briefings.

Entries sent by means other than the Competition Website or by anyone other than Authorized Registrants will not be considered eligible entries. Submissions must be: (i)complete (as determined by Briefings, in its sole discretion); (ii) in English (unless otherwise specified); and (iii) submitted/received during the Entry Period. Any submission not meeting the aforementioned criteria will be disqualified. Briefings accepts no responsibility for submissions lost, delayed, damaged, defaced, or mislaid, howsoever caused.

8. Competition Materials. As part of the Competition entry process, the Entrant will be required to disclose information and facts that support the Entrant's qualifications and accomplishments to satisfy the judging criteria as outlined below. In furtherance of this disclosure, the Entrant must answer the following general questions/topics: (a) describe the impact that the Entrant has had on his/her team or organization; (b) cite specific metrics that document the Entrant's achievement; (c) describe specific steps that the Entrant has taken to become effective as a new manager/supervisor; and (d) summarize why the Entrant deserves to be selected as Best New Leader of 2012.The Entrant will also be required to provide two (2) references who may be contacted for more information if the Entrant is chosen as a finalist.

9. Conduct. By entering the Competition, you and the Entrant nominee (if the Entrant is nominated by an employer) agree to comply with and be bound by the Rules, which will also be posted on the Competition Website. Failure to comply with these Rules may result in your disqualification from the Competition. You and the Entrant nominee (if the Entrant is nominated by an employer) further agree to comply with and be bound by the decisions of the judges, which are final and binding in all respects. Briefings reserves the right in its sole discretion to disqualify any Entrant it finds to be: (1) tampering or attempting to tamper with the entry process or the operation of the Competition; (2)violating the Rules; (3)violating the terms of service, conditions of use or general rules or guidelines of any Briefings property or service; (4) acting in an unsportsmanlike or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person; or (5) failure to provide documentation verifying U.S. citizenship or permanent U.S. residency. Any false information provided within the context of the Competition by any Entrant concerning identity, postal address, ownership of rights or non-compliance with the Rules may result in the immediate disqualification of an Entrant from the Competition. Briefings further reserves the right to disqualify any entry that it believes in its sole discretion, infringes upon any third party right, violates any law, or otherwise does not comply with these Rules.

10. Judging and Selection of Finalists and Winners. Entries will be judged by a panel of qualified and objective judges ("Judges").The panel of Judges will include both employees of Briefings and a number of independent"guest judges" selected by Briefings, in its sole discretion. Briefings will select the Judges based upon the individual's expertise in leadership and development of new managers and will include senior executives from companies in various industries, such as retail, health care, and entertainment. The Judges will review, judge, and rank each Entrant's Competition Materials to determine the Entrants with the highest overall record of achievement based upon the following judging criteria:

(a) merit;
(b) value of the Entrant's contribution to the Company's success;
(c) level of achievement attained by the Entrant;
(d) appropriateness of statements in support of the Entrant's nomination; and
(e) whether the submission adheres to these Rules.

Decisions of the Judges are final and binding. In the event there are not enough eligible entries, not all prizes will be awarded. If a winner is not able, for whatever reason, to accept his or her prize, then Briefings reserves the right to award the prize to another Entrant. Submissions will be categorized into 19 industry groups and three company-size groups per industry for judging.

There will be two (2) rounds of judging for each industry and company-size category that will result in semi-finalists and finalists as follows:The first round of judging will be conducted by Judges composed of Briefings employees and/or assignees, who will select three (3) semi-finalists per company size per industry for a total of up to nine (9) semi-finalists per industry. The semi-finalists will be contacted at the email addresses they or their employer provided in their entry submission and asked to provide additional information concerning their accomplishments as new managers. The second round of judging will be conducted by Judges composed of Briefings employees and a panel of independent guest judges, who will then select one (1) finalist per company-size category per industry. From those finalists, the Judges will select one finalist per industry ("Industry Finalists"), and from the Industry Finalists, an overall winner, the Best New Leader of 2012, will be selected ("Grand Prize Winner").The odds of winning depend on the number and qualifications of the Entrants.

11. Prizes. Briefings will award, at a minimum, the following prizes in this Competition. Briefings may, in its sole discretion, award additional prizes as they come available.

(a) Every valid and accepted Entrant will receive the following prizes: (i)one copy of the audio conference, Bud to Boss: Motivation and Recognition Tactics Every Supervisor Needs to Get Better Results (ARV of $219); and (ii)one copy of the book, The Organized Executive's Priority One: Strategies for Improving the Way You Work (ARV of $24.95); and (iv) a Certificate of Recognition (ARV of $5.00).

(b) The Industry Finalist in each of 19 industry categories will receive the following prizes: (i) one free registration to the Leadership Training Camp (ARV of $895); (ii) one copy of The 8th Habit: From Effective to Greatness, an audio conference taught by Stephen R. Covey (ARV of $229); and (iii) one-year subscription to The Organized Executive newsletter (ARV of $97).

(c) The Grand Prize Winner, i.e., the Best New Leader of 2012, will receive the following prizes:(i) $1,000 scholarship to a leading online MBA program (ARV of $1,000); and (ii) one free registration to the Leadership Training Camp, plus airfare and hotel accommodations (ARV of $2,000, subject to departure location of Grand Prize Winner).

(d) For the Leadership Training Camp, the Grand Prize Winner must attend a Leadership Training Camp within one (1) year of being awarded the prize. The Grand Prize Winner is entitled to select any Leadership Training Camp location offered during this one-year time period ("Destination Location").The Grand Prize Winner will receive (i) a 3-day/2-night trip to the Destination Location to attend the Leadership Training Camp: (ii) 2 nights' accommodations; (iii) all transfers in the Destination Location; (iv) 3-day food allowance while in the Destination Location; and (v) free entry into the Leadership Training Camp. Any difference between the stated ARV and the actual value will not be awarded. The Grand Prize Winner will be provided additional details at time of travel. The Grand Prize Winner is solely responsible for all costs not expressly described herein including, without limitation, applicable taxes, fuel/currency surcharges, ground transportation, meals, beverages, room service, gratuities, merchandise, telephone calls, insurance together with any required travel documentation, and all personal expenses of any kind or nature, together with any applicable overnight layover. Hotel accommodations are subject to availability and change without notice or compensation. Grand Prize Winner is also solely responsible for all costs incurred to and from the departure point as the Leader Training Camp prize originates and terminates there. It is recommended that the Grand Prize Winner obtain sufficient personal insurance prior to departure.

12. Prize Delivery and Conditions. Prizes to the Entrants will be delivered within fifteen (15) days after receipt of the Entrant's registration into the Competition and subsequent confirmation/verification by Briefings of the Entrant's eligibility to participate. Prizes to the Industry Finalists and the Grand Prize Winner will be delivered within sixty (60) days after the awards banquet to be held after the Competition ends. If any prize is unclaimed, if any prize correspondence or prize is returned as undeliverable, or if a winner is found ineligible or not in compliance with these Rules, the prize will be forfeited and, in the case of an Industry Finalist or Grand Prize Winner, an alternate winner may be selected, at Briefings' option and sole discretion. If a prize, or any portion thereof, cannot be awarded for any reason, Briefings reserves the right to substitute a prize of equal or greater value. All federal, state and local taxes, and all other costs associated with acceptance or use of the prizes, are the sole responsibility of the winners. Winners may waive their right to receive a prize. All prizes are non-transferrable, non-exchangeable, and non-refundable, have no cash value, and must be accepted by the winner as awarded.

13. Media Activity. By submitting an entry in this Competition, you and the Entrant nominee (if the Entrant is nominated by an employer) agree and hereby grant Briefings permission to use, copy, modify, distribute, and publicly display your Competition submissions for any purpose, such as, but not limited to, press and media communications, without any compensation or attribution to you. You and the Entrant nominee (if the Entrant is nominated by an employer) also agree to participate in any media or promotional activity regarding the Competition. If you are selected the Best New Leader of 2012, one of the nineteen (19) Industry Finalists, or one of the industry semi-finalists, you and the Entrant nominee (if the Entrant is nominated by an employer) agree that Briefings may use your name and likeness to administer and promote the Competition and to conduct media interviews and promotional events.

14. Privacy Notice. By participating in this Competition, you and the Entrant nominee (if the Entrant is nominated by an employer) agree that Briefings can collect your personal information, and that if Briefings cannot collect the required data, you may not be eligible to participate in the Competition. Any personal information collected during the course of the Competition by Briefings will only be used for administering this Competition, for you to receive information from Briefings and from sponsors of the Competition, and for other purposes as outlined in these Rules, and will be subject to Briefings' Privacy Policy, available at http://www.briefingsmediagroup.com/privacy_policy.shtml. You and the Entrant nominee (if the Entrant is nominated by an employer) will have the right to access, review, rectify or cancel any personal data held by Briefings by writing to Briefings (Attention: Privacy Matters) at the Briefings address listed in Section 2.

15. General Conditions. By participating in this Competition, you and the Entrant nominee (if the Entrant is nominated by an employer) agree to be bound by the terms of these Rules and by Briefings' decisions, which are final and binding on all matters pertaining to this Competition. Return of any prize/prize notification may result in disqualification and selection of an alternate winner. Any potential winner who cannot be contacted within five (5) business days of attempted first notification will forfeit his or her prize. Potential prize winners may be required to sign, notarize, and return an affidavit or declaration of eligibility, a liability/publicity release, an I.R.S. Form W-9, within three (3) business days and provide any additional information that may be required by Briefings. Failure to comply within this time period may result in disqualification and selection of an alternate winner. Briefings is not responsible for any typographical or other error in the printing of the offer, administration of the Competition or in the announcement of the prizes. Entrants certify that the information in their submission is accurate, and that they have the right to submit the submission in the Competition.

16. Applicable Law. This Competition is governed by the laws of the Commonwealth of Virginia, United States. By entering, you and the Entrant nominee (if the Entrant is nominated by an employer) consent to the jurisdiction and venue of the federal, state, and local courts located in Richmond, Virginia.

17. No Recourse to Judicial or Other Procedures. To the extent permitted by law, the rights to litigate, to seek injunctive relief, or to any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this Competition are hereby excluded, and you expressly waive any and all such rights.

18. LIMITATIONS OF LIABILITY. NEITHER BRIEFINGS NOR ANY OTHER PROMOTION PARTY SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS COMPETITION, ANY SUBMISSION OR USE OF THE SUBMISSION, OR ANY CONTENT EMBODIED THEREIN, INCLUDING WITHOUT LIMITATION ANY LIABILITY, LOSS, INJURY OR DAMAGE TO ENTRANT OR ANY OTHER PERSON OR ENTITY, INCLUDING PERSONAL INJURY OR DEATH, OR DAMAGE TO PERSONAL OR REAL PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, BY REASON OF ENTRANT'S ENTRY IN THIS COMPETITION, THE USE OF ANY SUBMISSION, OR THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF ANY PRIZE.

19. Indemnification: By entering this Competition, each Entrant agrees to release, discharge, and hold harmless Briefings and the Promotion Parties, their respective parents, subsidiaries, affiliated companies, licensees, and assigns, and each of their respective officers, directors, employees, agents, and representatives from any claim or liability arising from or related to participation in this Competition or any Competition-related activities including, but not limited to, any submission and/or the use of any submission, and, if a winner, any prizes awarded by Briefings in connection with this Competition (including, without limitation, the receipt and/or use of said prizes).

20. Third Parties. Briefings is not responsible for the policies, actions, or inactions of others, including Entrant's employer, that might prevent the Entrant from entering, participating, and/or claiming a prize in this Competition.

21. Intellectual Property. By registering for the Competition and/or submitting an entry you agree explicitly that all components of your submission are indeed original creations. Any intellectual property infringement, misuse or plagiarism of another's work in any form or state will result in immediate disqualification and forfeiture of eligibility to receive all awards, recognition and prizes. You also agree to allow Briefings to make public statements regarding any disqualifications and any grounds for disqualification. All intellectual property and industrial property rights in any entries that belonged to the Entrants will remain with the Entrants, but the submissions will otherwise become the property of Briefings, and will not be returned after the Competition. You grant Briefings permission to use, copy, modify, distribute, and publicly display your Competition submission for any purpose, including display on the Briefings website, without any attribution or compensation to you.

22. Internet. Briefings is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission. Briefings is not responsible for theft or destruction or unauthorized access to or alterations of Competition materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind. Briefings is not responsible for inaccurate transmissions of or failure to display Competition materials on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. If for any reason the Internet portion of the Competition is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Competition, Briefings reserves the right at its sole discretion to cancel, terminate, modify or suspend the Competition.

23. Official Rules. The Competition will be run in accordance with these Rules. Entrants must comply with the Rules and will be deemed to have received and understood the Rules by participating in the Competition. The terms of the Competition, as set out in the Rules, are not subject to amendment or counter-offer, except as set out herein. Briefings' decisions with respect to the Competition are final and binding.

24. Severability. If any provision(s) of these Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.

25. Winner List. The names of the winners will be posted on the Competition Website within one (1) week of the end of the Competition.
